Acceptance of these terms
These Terms of Service govern your use of the Mindlogics website and any services Mindlogics (“we”, “us”) provides to you. By using this website or engaging us for a project, you agree to these terms. If you do not agree, please do not use the website or our services.
Our services
Mindlogics provides web development, mobile app development, UI/UX design, branding, e-commerce, custom software, digital marketing and related support services. The deliverables, timeline and fees for each engagement are set out in a written proposal, statement of work or agreement (a “Project Agreement”). If a Project Agreement conflicts with these terms, the Project Agreement takes priority.
Proposals and quotes
Quotes are based on the information you provide and are valid for 30 days unless stated otherwise. Work outside the agreed scope is treated as a change request and will be estimated and approved by you before we start it.
Fees and payment
- Projects usually require an upfront deposit before work begins, with the remaining balance billed against agreed milestones.
- Invoices are due within the period stated on the invoice. We may pause work on overdue accounts until payment is received.
- Fees do not include third-party costs such as hosting, domains, premium plugins, stock assets or advertising spend, unless the Project Agreement says so.
- Deposits cover time and resources reserved for your project and are non-refundable once work has started, unless the Project Agreement says otherwise.
Your responsibilities
To keep your project on schedule, you agree to provide content, feedback, approvals and access to required accounts in a timely manner. You confirm that any material you supply, including text, images, logos and data, is yours to use or properly licensed and does not infringe anyone else's rights. Delays on your side may affect the timeline and cost.
Intellectual property
Once all fees for a project are paid in full, ownership of the final deliverables created specifically for you, including source code, design files and written content, transfers to you. Until then, they remain the property of Mindlogics.
We keep ownership of our pre-existing tools, code libraries, frameworks and know-how, and grant you a non-exclusive, perpetual license to use any of them included in your deliverables. Open-source and third-party components remain subject to their own licenses.
Unless you ask us not to in writing, we may show completed work in our portfolio and marketing materials.
Confidentiality
We keep confidential any non-public business information you share with us and use it only to deliver your project. This does not apply to information that is already public, was developed independently, or that we are legally required to disclose.
Third-party services
Projects often rely on third-party platforms such as hosting providers, payment gateways, app stores and analytics tools. We are not responsible for their availability, pricing changes or policies, and your use of them is governed by their own terms.
Warranty and support
We fix defects in our work that you report within 30 days of launch at no extra cost. This warranty does not cover issues caused by changes made by others, third-party updates, hosting problems or new feature requests. Ongoing support is available under a separate maintenance plan.
Limitation of liability
The website and its content are provided “as is” for general information. To the fullest extent permitted by law, Mindlogics is not liable for indirect, incidental or consequential losses, including lost profits, revenue or data. Our total liability for any claim relating to a project is limited to the fees you paid us for that project.
Termination
Either party may end a project with written notice. You will pay for all work completed up to the termination date, and we will hand over completed deliverables once that payment is received.
Governing law
These terms are governed by the laws of Pakistan. We will first try to resolve any dispute in good faith. If that is not possible, it will be handled by the competent courts of Pakistan.
Changes to these terms
We may update these terms from time to time. The latest version will always be posted on this page with its effective date. Continued use of the website or our services after a change means you accept the updated terms.
